organicgirl acquires Dole’s Fresh Vegetables Division in $140M deal
Dole plc completed its sale of Dole’s Fresh Vegetables Division to og Holdco LLC, the parent company of organicgirl LLC, a portfolio company of Arable Capital Partners LLC. The total value of the sale is $140 million, comprising $90 million in cash and a $50 million seller note, and a $10 million potential earn-out. Dole is retaining its facilities in Huron, Calif., and Yuma, Ariz.
The Fresh Vegetables Division comprises operations related to the processing and sale of ready-to-eat salads and salad kits as well as whole produce such as iceberg, romaine, leaf lettuce, cauliflower, broccoli, celery, asparagus, artichokes, green onions, sprouts, radishes and cabbage. The business has agricultural operations and three processing plants across the United States, employing more than 3,000 people.
The sale of Dole’s Fresh Vegetables Division could bring both opportunities and short-term disruptions to foodservice produce sourcing, particularly for convenience services operators that rely on fresh-cut salads, ready-to-eat vegetables and pre-packed produce.
Dole had previously announced the sale of its Fresh Vegetables Division to Fresh Express, a Chiquita Brands subsidiary, in 2023. The proposed sale was abandoned in March 2024 after the U.S. Department of Justice intervened over antitrust concerns.
